Licenses & Legal Framework

Transparent licensing terms governing Sales Morgan software subscriptions, API/SDK access, open source library attributions, social platform integrations, and brand assets.

Commercial Enterprise SaaS Subscription License

Applies to all registered cloud workspaces, automated multichannel outreach pipelines, and team seats.

1. Grant of Commercial License

Subject to full payment of applicable subscription tier fees and strict compliance with our Acceptable Use Policy, Sales Morgan, Inc. grants your organization a non-exclusive, non-transferable, revocable, worldwide commercial license to access and utilize the Sales Morgan distributed outreach software engine during your active subscription term.

2. Authorized Seats & Multi-Inbox Quotas

Your license permits utilization solely by the designated number of authorized member seats specified in your plan. Shared credentials and unauthorized third-party seat sharing are strictly prohibited. Multi-inbox rotation quotas must operate within the designated boundaries of your package.

3. Distributed Node & Relay Architecture

All outreach dispatches executed through Sales Morgan nodes are governed by our deliverability protection heuristics. The license does not grant rights to reverse engineer, decompile, or extract the underlying rotation algorithms, inbox warming protocols, or AI agent prompts.

4. Data Ownership & Privacy Isolation

You retain 100% intellectual property ownership of all customer CRM leads, uploaded sequence templates, and message content processed through our platform. Sales Morgan processes this data under our Data Processing Agreement (DPA) and never uses your customer data to train public models.

End User License Agreement (EULA)

Legally binding terms for individual SDRs, sales leaders, and administrators accessing the workspace.

1. Individual User Authorization

By activating a user seat or logging into Sales Morgan, you certify that you are authorized by your enterprise workspace administrator and agree to abide by all platform conduct policies and sending rate ceilings.

2. Restrictions on Reverse Engineering

You may not modify, distribute, lease, sell, or create derivative works based on the Sales Morgan user interface, browser extensions, or automated worker relays, nor attempt to extract proprietary source code.

3. Security Responsibilities

Each user is responsible for safeguarding their session authentication credentials, multi-factor authentication (MFA) tokens, and connected OAuth tokens for Google Workspace, Microsoft 365, Instagram, and LinkedIn.

4. Breach & Immediate Termination

Failure to abide by anti-spam statutes (such as CAN-SPAM, GDPR, or CASL) or violation of platform rate ceilings constitutes an immediate breach, resulting in automatic suspension of the offending user seat.

Social Media & Third-Party Platform Policies

Required standards for Instagram Direct, LinkedIn Safe-Mode, and Meta Graph integrations.

Instagram & Meta Direct Policies

Sales Morgan operates in strict accordance with Meta Platform Terms. Automated DM conversational funnels must be initiated with recipient relevance, must honor opt-out keywords (e.g. STOP, UNSUBSCRIBE), and must never exceed automated interaction volume thresholds.

LinkedIn Outreach Safe-Mode

Our LinkedIn integration features human-simulated delays and randomized interval pacing to protect account health. Users must adhere to LinkedIn Professional Community Guidelines and respect target connection volume ceilings.

Google & Microsoft SMTP/API Standards

All connected email domains must maintain compliant SPF, DKIM, and DMARC DNS records. Spam complaint rates must strictly remain below 0.1% as mandated by Gmail and Yahoo 2026 bulk sender guidelines.

Social Media License Disclaimer

Sales Morgan is an independent software provider. Instagram and Meta are registered trademarks of Meta Platforms, Inc. LinkedIn is a trademark of LinkedIn Corporation. No endorsement or partnership is implied.

Third-Party Open Source Software Attributions
