1. Services Overview

Outreach OS provides a multi-channel outreach platform that enables users to automate Instagram DMs and email campaigns, manage outboxes, track analytics, and utilize features like Spintax personalization and Google Sheets integration. The Service is designed to help users scale their outreach efforts safely and efficiently.

2. Account Registration and Security

• You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
• You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3. User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You are solely responsible for all content you upload, post, email, transmit, or otherwise make available through the Service, including lead data and outreach messages.

You agree not to use the Service to:

• Engage in any activity that is illegal, fraudulent, or harmful to others.
• Send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, or any other means.
• Violate any applicable local, state, national, or international law or regulation, including, but not limited to, laws regarding email marketing (e.g., CAN-SPAM Act), data privacy (e.g., GDPR, CCPA/CPRA), and social media platform terms of service (e.g., Instagram's Terms of Use).

Important Notice:You acknowledge that using automation tools for social media platforms like Instagram carries inherent risks, including potential account restrictions or bans if not used in compliance with the platform's terms. You agree to use the Instagram DM automation features responsibly and in accordance with Instagram's policies. We are not responsible for any consequences arising from your misuse of the Service or violation of third-party platform terms.

4. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Outreach OS and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Outreach OS.

5. Payments and Subscriptions

• Billing: You will be billed on a recurring and periodic basis (e.g., monthly or annually), depending on the subscription plan you select when purchasing a Subscription.
• Free Trial: We may offer a free trial for a limited period. You may be required to enter your billing information to sign up for the Free Trial. If you do not cancel your Subscription before the Free Trial expires, you will be automatically charged the applicable Subscription fees.
• Fee Changes: Outreach OS, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
• Refunds: Except when required by law, paid Subscription fees are non-refundable.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

7. Disclaimers

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Outreach OS, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

8. Limitation of Liability

In no event shall Outreach OS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
